Terms of Service

These terms govern your access to and use of the Vellora Ops platform, applications, and related services. Please read them carefully.

1. Introduction

Welcome to Vellora Ops Ltd ("we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of the Vellora Ops platform, applications, and related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

3. Eligibility

You must:

  • Be at least 18 years old
  • Have authority to enter into a binding contract on behalf of yourself or your organisation

By using the Service, you represent that you meet these requirements.

4. Your Account

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorised use or suspected breach of security.

We reserve the right to suspend or terminate accounts that violate these Terms or applicable law.

5. Your Data and Privacy

Our handling of personal data is governed by our Privacy Policy. By using the Service, you acknowledge that we will process personal data in accordance with that policy and applicable data-protection laws.

If you are an organisation using Vellora Ops to manage your own users or clients, you act as a data controller and Vellora Ops Ltd acts as a data processor. The terms of processing are defined in our Data Processing Agreement (DPA).

6. Acceptable Use

You agree not to:

  • Use the Service for unlawful, harmful, or fraudulent purposes
  • Attempt to gain unauthorised access to any system or data
  • Transmit malware, spam, or other malicious code
  • Interfere with or disrupt the integrity or performance of the Service
  • Reverse-engineer, decompile, or attempt to derive the source code

7. Service Availability and Updates

We strive to provide continuous availability, but the Service may occasionally be unavailable due to maintenance, upgrades, or issues beyond our control.

We may modify, enhance, or discontinue features at any time, with or without notice. If a change materially reduces core functionality for paid customers, we will provide reasonable advance notice.

8. Subscription and Payments

Paid plans are billed through Stripe Payments UK Ltd in accordance with the plan selected on your account.

  • Fees are non-refundable except where required by law
  • Invoices and receipts are available via your account dashboard
  • Failure to pay may result in suspension or termination of access

All amounts are stated and payable in GBP (£) unless otherwise indicated.

9. Intellectual Property

All content, code, and trademarks associated with the Service remain the exclusive property of Vellora Ops Ltd or its licensors.

You retain ownership of your own data, but grant us a limited licence to host, process, and display it solely for operating and supporting the Service.

10. Third-Party Services

The Service may integrate with third-party providers such as Microsoft Azure and Stripe. We are not responsible for the content, policies, or reliability of third-party services.

Your use of those services is governed by their respective terms and privacy policies.

11. Confidentiality

We treat all non-public information you provide as confidential and use it only to deliver and maintain the Service. Both parties agree to maintain the confidentiality of any proprietary information disclosed during the relationship.

12. Security and Data Protection

We maintain technical and organisational measures to protect data, including:

  • Encryption in transit and at rest
  • Role-based access controls (RBAC)
  • Tenant-level data isolation (RLS)
  • Continuous security monitoring

13. Termination

You may cancel your account at any time through the account portal or by contacting support@vellora-ops.com.

We may suspend or terminate your account if: you breach these Terms; payment is overdue by more than 30 days; or required by law or regulatory obligation.

Upon termination, your access will cease and we will delete your data following the retention period in our Privacy Policy.

14. Disclaimer of Warranties

The Service is provided "as is" and "as available." We make no warranties, express or implied, regarding reliability, performance, or suitability for a particular purpose.

15. Limitation of Liability

To the maximum extent permitted by law:

  • Vellora Ops Ltd shall not be liable for any indirect, incidental, or consequential losses, including lost profits or data
  • Our total aggregate liability for any claim arising under these Terms shall not exceed the fees paid by you in the 12 months preceding the claim

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

16. Indemnity

You agree to indemnify and hold harmless Vellora Ops Ltd, its directors, and employees from any claims or losses arising from your misuse of the Service or violation of these Terms.

17. Changes to These Terms

We may update these Terms from time to time. Revised versions will be posted on our website with a new version number and effective date. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

18. Governing Law and Jurisdiction

These Terms are governed by the laws of Scotland. Any disputes will be subject to the exclusive jurisdiction of the Scottish courts.
